Terms of Service

By accessing or using ResiMatch.AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms.

ResiMatch.AI is an AI-powered job digest platform that provides the following capabilities:

• Aggregation of job listings from multiple third-party sources into a unified interface.
• Configurable saved searches with granular filters including job title, location, salary range, experience level, and keywords.
• AI-powered scoring that analyzes job listings against your uploaded resume to generate relevance scores and skill match assessments.
• Personalized job digests delivered on your preferred schedule via email, webhooks, or REST API.
• A public API for programmatic access to your job data, searches, and digest history.

The Service is provided on a subscription basis with multiple plan tiers as described in Section 4.

To use the Service, you must create an account. By registering, you agree that:

• You are at least 16 years of age.
• All information you provide during registration is accurate, current, and complete.
• You will maintain and promptly update your account information to keep it accurate.
• You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys.
• You are responsible for all activity that occurs under your account, whether or not you authorized it.
• You will maintain only one account per person. Creating multiple accounts to circumvent plan limits or for any other purpose is prohibited.
• You will notify us immediately at legal@resimatch.ai if you suspect unauthorized access to your account.

The Service is offered under the following subscription plans:

• Free: Limited access with restricted saved searches, digest sizes, and no API access. No payment required.
• Pro ($19/month): Expanded limits for saved searches, AI scores, resumes, API keys, and webhook subscriptions. Includes additional notification channels.
• Premium ($49/month): Highest tier with maximum limits across all features, priority support, and full API access.

Feature limits for each plan are displayed on our Pricing page and are enforced automatically by the platform. Exceeding a plan limit will result in the relevant feature being temporarily restricted until the next billing cycle or until you upgrade your plan.

4.1 Billing

All paid subscriptions are billed monthly in advance through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring monthly basis. Prices are stated in U.S. dollars and are exclusive of applicable taxes, which will be added where required by law.

4.2 Cancellation

You may cancel your subscription at any time through your account settings or via the Stripe Billing Portal. Upon cancellation, your subscription will remain active through the end of your current billing period. After that period, your account will revert to the Free plan. We do not provide refunds for partial billing periods.

4.3 Price Changes

We reserve the right to modify subscription pricing. Any price changes will take effect at the start of your next billing cycle following at least 30 days' prior notice via email.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

• Scrape, crawl, or use automated tools to access the Service beyond the rate limits and access methods provided by your plan's API allocation.
• Attempt to bypass, disable, or circumvent any access controls, rate limits, quota restrictions, or security features of the Service.
• Upload malicious content, including but not limited to viruses, malware, or files designed to exploit vulnerabilities in our systems.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or models underlying the AI scoring system or any other proprietary component of the Service.
• Use the Service to engage in any activity that is illegal, fraudulent, or harmful to others.
• Resell, sublicense, or redistribute access to the Service or its data without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service, its servers, or connected networks.

Violation of these restrictions may result in immediate suspension or termination of your account without notice.

Our property: The Service, including its design, code, AI models, scoring algorithms, user interface, graphics, trademarks, and documentation, is owned by ResiMatch.AI and is protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service.

Your content: You retain full ownership of all content you upload or submit to the Service, including your resumes, job search preferences, and account information. By uploading content, you grant us a limited, non-exclusive license to process, store, and analyze that content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or your account.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

If your subscription plan includes API access, the following additional terms apply:

• Rate limits: API usage is subject to rate limits based on your subscription plan (Free: 60 requests/minute, Pro: 300 requests/minute, Premium: 1,000 requests/minute). Exceeding these limits will result in temporary throttling.
• API key security: Your API keys are confidential credentials. You are responsible for keeping them secure and must not share them publicly or embed them in client-side code. Compromised keys should be revoked immediately through your account settings.
• Webhook delivery: Outgoing webhook notifications are delivered on a best-effort basis. We will attempt to redeliver failed webhook calls with exponential backoff, but we do not guarantee delivery. Your webhook endpoints must respond within 30 seconds and return an HTTP 2xx status code to be considered successful.
• API versioning: We maintain versioned API endpoints. Deprecated API versions will be supported for at least 6 months after deprecation notice before being removed.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

For users in the European Economic Area (EEA), United Kingdom, or other jurisdictions with applicable data protection laws, we process personal data in accordance with the General Data Protection Regulation (GDPR) and other relevant legislation. You may exercise your data subject rights as described in our Privacy Policy.

Job listing accuracy: Job listings displayed in the Service are sourced from third-party providers and employer websites. We do not verify the accuracy, completeness, or currency of any job listing. We are not responsible for the content of job postings, the legitimacy of any employer, or the outcome of any job application.

AI scoring: The AI-generated relevance scores and skill match assessments provided by the Service are advisory in nature and are intended to assist your job search. They are not hiring recommendations, guarantees of suitability, or predictions of employment outcomes. You should use your own judgment when evaluating job opportunities.

Service availability: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESIMATCH.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

1. Your access to or use of (or inability to access or use) the Service.
2. Any conduct or content of any third party on the Service, including job listings from third-party providers.
3. Any content obtained from the Service, including AI-generated scores.
4. Unauthorized access to, alteration of, or loss of your data.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

By you: You may delete your account at any time through your account settings. Upon deletion, your subscription will be cancelled, and your data will be handled as described in our Privacy Policy.

By us: We reserve the right to suspend or terminate your account, without prior notice or liability, if we reasonably believe that:

• You have violated these Terms or our Acceptable Use policy.
• Your account has been used for fraudulent or illegal activity.
• Continued provision of the Service to you poses a security risk to other users or our infrastructure.
• We are required to do so by law or by a valid legal order.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) shall survive.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account before the revised Terms take effect. We will also update the "Last updated" date at the top of this page.

Material changes include, but are not limited to, modifications to pricing, service scope, data handling practices, or liability provisions. Non-material changes (such as typographical corrections or clarifications) may be made without prior notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account before the changes take effect.
